Iron Mountain Closes Sale of Certain United States Assets In Connection with Acquisition of Recall

BOSTON--(BUSINESS WIRE)-- Iron Mountain Incorporated (NYSE: IRM), the storage and information management services company, has closed on the sale of certain records and information management facilities in the United States to Access CIG, LLC (Access) as required by the U.S. Department of Justice (DOJ) in connection with the DOJ’s approval of Iron Mountain’s acquisition of Recall Holdings Limited (Recall), which closed on May 2, 2016.

As disclosed on April 1, 2016, Iron Mountain agreed to sell certain U.S. records and information management assets formerly owned by Recall, including all associated tangible and intangible assets, in the following 13 United States cities: Buffalo, Charlotte, Detroit, Durham, Greenville/Spartanburg, Kansas City, Nashville, Pittsburgh, Raleigh, Richmond, San Antonio, Tulsa and San Diego for total consideration of approximately $80 million, subject to adjustments. Access is the largest privately held records and information management services provider in the United States and Latin America, providing records storage and document management in both hardcopy and digital formats, in addition to data protection, secure destruction, digital document conversion and breach reporting services.

The assets noted above constitute Iron Mountain’s initial United States divestments. Sale of Recall’s records and information management facility in Seattle and certain of Recall’s records and information management facilities in Atlanta, including in each case associated tangible and intangible assets, are also included in Iron Mountain’s agreement with the U.S. DOJ, but are not part of the sale to Access.
